1. Who We Are

We, BG Consultancy Group, LLC, a limited liability company organized under the laws of the State of Missouri, United States of America, with our principal office located at 6220 Blue Ridge Blvd., Suite 201, Raytown, MO 64133, United States of America, and/or our affiliates or our authorized representatives/resellers (“we”, “us”, “our” or the “Company”), provide valuable learning materials and related services through our website, BGConsultancyGroup.com (“Website”) and through designated platforms.

 

2. Agreement Overview

By using our product BG Consultancy Group, LLC (the “Service”), you agree to abide by these Terms and Conditions (referred to as the “Terms” or the “Agreement”). Our Privacy Terms and Subscription Terms are incorporated into these Terms by reference, which means they are part of the Terms.

Any translation of the Terms from the English version is provided for your convenience only. In case of any discrepancies, the English version of the Terms will prevail.

 

3. Eligibility

If you do not agree with any part of these Terms or any related documents, or you are not eligible to use our Services, please do not access any part of our Service.

To use BG Consultancy Group, LLC, you must be at least 18 years old and have the legal capacity to enter into an agreement. If you are under 18, you need your parent’s or legal guardian’s permission. If you do not agree with these Terms or you are not eligible, please do not use our Service.

 

4. What We Offer

BG Consultancy Group, LLC is an educational, marketing, referral and onboarding company who provides a range of high quality educational materials, including articles, investment reading materials, test questions, and digital investment content. All these materials and services are collectively referred to as “Digital Content”. Please read carefully the disclaimers and warranties below with regard to this Digital Content.

You will have access to the Digital Content and our product BG Consultancy Group, LLC only after registering for the Service plan (1 weeks, 2 weeks or otherwise) depending on what crypto exchange you select.

After registering and while using the Service, you may be offered additional paid features. Please read carefully any offers you receive from us.

 

5. Digital Investment Simulator aka Daily Compound Calculator 

While using our Service you will have access to the digital investment simulator. Any trading on this simulator does not involve real money; any “currency” we use in the investment simulator is created for illustrative purposes only. This investment simulator allows you to safely learn and become familiar with High Yield Brokerage Accounts, the Crypto market and online brokerages.

BG Consultancy Group, LLC is NOT an investment or trading platform and does not provide any financial assistance or advice. Your decision to make any investment should be made at your own risk and upon your own will only. We are not liable for any damage to your computer system, loss of data, or monetary loss resulting from your access to or use of the Services, or reliance on any information or advice.

6. AI Chat Mentor, AI Receptionist and AI Generated Videos

While using our Service you will also have access to the Mentor chat, AI Receptionist and Videos powered and created by Artificial Intelligence (“AI Chat”). These are implemented for educational purposes only and are not intended to provide investment advice.

While using these AI products, you may provide your information (“Input”), and we generate responses based on your Input (“Output”). You own your Input and we assign you all rights permitted by law on the Output (together, “Content”). However, we may use such Content to improve our services, and you may opt out of such use by contacting us.

Due to the nature of machine learning, output may not be unique across users and the Services may generate the same or similar output for BG Consultancy Group, LLC or a third party. For example, multiple users who ask the same factual question may receive the same response. Responses requested by and generated for other users are not considered your Content.

7. Subscription Plans

Based on the option you select at the time of purchase, we may offer you a future subscription plan. A subscription plan is an arrangement that grants you ongoing access to the Service for a specified period (every 4 weeks, 12 weeks, or otherwise, depending on the option selected by you at the time of purchase) after payment for the subscription services.

Depending on the option selected by you at the time of purchase, you may enjoy a reduced price for the first subscription period (for example, the first 1 week, 4 weeks or 12 weeks). After that, you will be automatically charged the usual price for each specified period (every 4 weeks, 12 weeks, or otherwise, as selected by you). Subscription plans are automatically renewed at the end of each period. You can cancel at any time, provided you do so at least 24 hours before the end of the current billing period in your account settings.

Additional paid features are optional functionalities, products or services that we may offer to you in addition to the subscription plan, also on a subscription or one-time basis as described in the offer.

Price changes. The prices and the amount of Digital Content available through your subscription may be changed from time to time by territory with no obligation of BG Consultancy Group, LLC to clearly notify you (except where required by applicable law). We will give you reasonable notice of any such price change by posting the new prices on or through the Website and/or by sending you a notification or using another prominent method. If you do not agree with a new price and do not want to pay it, please cancel your subscription before it becomes applicable to you.

8. Billing and Cancellation

We bill for our services through PayPal or other payment providers (such as Visa, Mastercard, and others). Your payment method will be charged according to your subscription plan. It is your responsibility to cancel your subscription in time.

Methods of payment

Payment methods for the Services are billed by BG Consultancy Group, LLC via PayPal or other payment providers. BG Consultancy Group, LLC charges the applicable fees to the payment card you submit at the time of purchase (after you confirm by single-touch identification, facial recognition, entering your payment method details on the web, or otherwise accepting subscription terms on our payment screen).

​

You authorize us to store your payment method(s) and automatically charge the applicable subscription fees to the payment card that you submit as a primary payment method for each renewal term. In the event of a failed attempt to charge your primary payment method (for example, if your payment method has expired), you agree that we may retry billing your payment method or use any other stored payment method associated with your account. If a payment is not successfully authorized due to expiration, insufficient funds, or otherwise, we may suspend or terminate your subscription. You remain responsible for any amounts you fail to pay in connection with your subscription.

Period of automatic renewal

The period of auto-renewal will be the same as your initial subscription period unless otherwise disclosed to you in the Service. The renewal rate will be no more than the rate for the immediately prior subscription period, excluding any promotional or discount pricing, unless we notify you of a rate change prior to your auto-renewal.

​

In some cases, your payment date may change, such as when your payment method fails to settle or when you change your subscription plan. To view your next payment date, go to the Website and click on the “Subscription” link on the “Account” page.

Cancellation and refunds

​

You must cancel your subscription in accordance with the cancellation procedures disclosed to you at the time of purchase and in the Subscription Terms. Please refer to the Subscription Terms to find out whether you might be eligible for a refund.

BG Consultancy Group, LLC may also initiate the cancellation of your subscription and provide refunds at its own discretion and subject to the Subscription Terms.

 

9. Data Protection

We collect, store, and process your data in accordance with our Privacy Policy. By using the Service, you agree to the collection, storage, and processing of data in the manner and for the purposes described in the Privacy Policy.

10. Use of Information and Intellectual Property

All information, text, images, graphics, marks, logos, compilations (meaning the collection, arrangement or assembly of information), data, other content, software and materials available through or at our Website constitute our property or the property of third parties.

You are granted a non-exclusive license to use our Service for personal, non-commercial purposes only, unless otherwise expressly written in these Terms. No other rights or use with regard to the Services are granted to you. Please do not infringe our intellectual property rights.

Information you provide us when you sign up to BG Consultancy Group, LLC, your “User Content”, belongs to you, and we do not obtain any proprietary right over it. However, you agree that we may retain copies of all registration information and User Content and use such information as reasonably required or incidental to the operation of the Services and as described in these Terms and the Privacy Policy.

If you believe your intellectual property rights have been violated, contact us through our Support Center. We may request additional information, delete or disable content alleged to be infringing, and may terminate accounts of repeat infringers.

Trademarks. All brand assets, including the “BG Consultancy Group, LLC” and “The Simple Wealth Plan” names, logos, graphics, trademarks and service marks used on our platform are the exclusive property of BG Consultancy Group, LLC or their respective owners. Using our Service does not grant you any license or permission to reproduce or use the BG Consultancy Group, LLC name or any other trademarks.

11. Third-Party Ads

Our Service may contain links to third-party websites and advertisements for third-party products or services. We are not responsible for these third-party ads, and you use them at your own risk. When you link to a third-party website, the terms and conditions of such a website will apply to your relationship with that website’s owner. Please be careful and conduct your own investigation regarding any such advertisements.

 

You hereby release us, our officers, employees, agents and successors from any claims, demands, losses, damages and actions of any kind whatsoever directly or indirectly related to such third-party advertisements, products and services.

BG Consultancy Group, LLC holds the copyright in the product and its related content, including but not limited to all materials, digital and print content, names, trademarks and logos.

Any redistribution or reproduction of part or all of the Services and/or Digital Content available through subscription services in any form is prohibited. Any other proposed use of Services and/or Digital Content must be approved by BG Consultancy Group, LLC in the form of formal written permission.

 

15. User Representations and Restrictions

Representations and Warranties

By using the Service, you represent and warrant that:

  • you have the legal capacity and you agree to comply with these Terms;
     

  • you are not under the age of 18;
     

  • you will not access the Service through automated or non-human means, including without limitation any spider, robot, cheat utility, scraper, or offline reader, or use or launch any unauthorized script or other software;
     

  • you will not use the Service for any illegal or unauthorized purpose;
     

  • you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country;
     

  • you are not listed on any U.S. government list of prohibited or restricted parties; and
     

  • your use of the Service will not violate any applicable law or regulation.
     

If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to refuse any and all current or future use of the Service (or any portion thereof).

ACCESS TO, AND USE OF, THE SERVICE (INCLUDING THE DIGITAL CONTENT AND USER CONTENT), AND THIRD PARTY ADS ARE AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTING SYSTEM OR LOSS OF DATA RESULTING THEREFROM.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, YOU AGREE THAT THE AGGREGATE LIABILITY OF BG CONSULTANCY GROUP, LLC TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE APP, CONTENT, SERVICE OR PRODUCTS IS LIMITED TO THE AMOUNTS YOU HAVE PAID TO BG CONSULTANCY GROUP, LLC FOR ACCESS TO AND USE OF THE SERVICE. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE TERMS BETWEEN BG CONSULTANCY GROUP, LLC AND YOU.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation or exclusion may not apply to you and you may also have other rights that vary from jurisdiction to jurisdiction.

17.1. If You Are an Australian Resident

For Australian residents, the Service is provided with guarantees under the Australian Consumer Law that cannot be excluded. In case of a major failure, you may be entitled to:

  • terminate the agreement for the provision of the Service; and
     

  • receive either a refund for the unused portion of the Service or compensation for its reduced value.
     

If the failure is not considered major, we will remedy the issue within a reasonable timeframe. Should we fail to do so, you may terminate the agreement and request a refund for the portion of the Service not used. You may also be entitled to compensation for any other reasonably foreseeable loss or damage arising as a result of the Service’s failure.

18. Indemnification

By using the Services, you agree to indemnify, defend, and hold harmless BG Consultancy Group, LLC, its successors, subsidiaries, affiliates, related companies, suppliers, licensors, and partners, and the officers, directors, employees, agents and representatives of each of them, from and against any and all claims, complaints, lawsuits, or other liabilities, including reasonable attorneys’ fees, that may arise from your use of the Services or your decision to follow any advice, recommendation, or instruction provided therein, your User Content, or your violation of these Terms.

19. Informal Dispute Resolution and Arbitration

This section governs how disputes between you and BG Consultancy Group, LLC will be resolved. By agreeing to these Terms, you are waiving your right to participate in a class action lawsuit and your right to a jury trial, and you agree to resolve disputes through binding arbitration except where otherwise permitted (such as qualifying small claims matters).

Before initiating arbitration or a small-claims action, you and BG Consultancy Group, LLC agree to follow a mandatory informal dispute resolution process, including sending a written notice of dispute and engaging in good faith efforts to resolve the dispute, including at least one individualized video or teleconference, as described in the detailed dispute resolution procedures that form part of these Terms.

Arbitration will be administered by a recognized arbitration provider under its applicable rules (as modified by these Terms) and will typically be conducted remotely via written submissions, video or teleconference. The arbitrator will apply the laws of the United States and the State of Missouri, and federal arbitration law will govern the interpretation and enforcement of this arbitration agreement.

To the fullest extent allowable by law, you and BG Consultancy Group, LLC waive the right to file or participate in a class, collective, representative, or consolidated proceeding in court or in arbitration. Any arbitration will be conducted only on an individual basis.

If any portion of this arbitration or class waiver provision is held unenforceable with respect to a particular claim or request for relief, that claim may proceed in court (but will be stayed pending individual arbitration of the remaining claims), and if the class waiver as a whole is found unenforceable, the arbitration provisions (except for any mandatory informal dispute resolution requirement and jury trial waiver) will be null and void.
